TERMS OF SERVICE (TERMS & CONDITIONS)

Please read these Terms of Service and Conditions ("Terms") carefully before using the thrivenutrition.us website (the "Site") and any related services, content, features, tools, products and services offered by Thrive Nutrition® (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.


1) Eligibility

By using the Service, you represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement.


2) Communications

By creating an account, placing an order, subscribing, opting in to marketing, or otherwise providing your contact information, you agree we may communicate with you about your account, orders, subscriptions, customer service, and (if you opt in) marketing and promotional messages.

You can opt out of marketing emails at any time by using the unsubscribe link in our emails. Transactional messages (order confirmations, shipping updates, subscription notices, security messages) may still be sent.


3) Purchases, Pricing, and Payment

If you purchase any product through the Service ("Purchase"), you may be required to provide information including your name, billing and shipping address, phone number, email address, and payment details.

You represent and warrant that:

• You are authorized to use the payment method provided; and

• The information you provide is true, accurate, and complete.

All charges are processed in U.S. Dollars unless otherwise stated at checkout. We may use third-party providers (including Shopify and payment processors) to facilitate payments. By submitting your information, you authorize us to share necessary data with these providers subject to our Privacy Policy.

We reserve the right to refuse or cancel any order at any time for reasons including, but not limited to: product availability, errors in product or pricing information, suspected fraud, unauthorized transactions, or violations of these Terms. If we cancel an order after payment has been captured, we will issue a refund to the original payment method where applicable.


4) Shipping and Delivery

Thrive Nutrition® ships to the United States, Australia, Canada, and the United Kingdom. Delivery times vary by destination and factors outside our control (carrier delays, weather, customs clearance, etc.).

You are responsible for providing a complete and accurate shipping address. We are not responsible for delays or losses caused by incorrect shipping details provided by you.

International customers are responsible for any customs duties, taxes, or import fees assessed by the destination country unless otherwise stated at checkout.

If a carrier marks a shipment as delivered, that delivery confirmation will generally serve as proof of delivery.


5) Returns, Refunds, and Cancellations

All returns, refunds, and cancellations are governed by our Refund & Return Policy, which is incorporated into these Terms by reference. Key terms include:

A) 30-Day Money-Back Guarantee (First-Time Purchases Only)

If you are not satisfied with your first purchase of a specific product, contact us within 30 days of delivery to request a refund. No return is required for first-time purchases. Refunds are processed within 5–7 business days of approval and will be credited to your original payment method.

Important notes:

• Applies only to first-time purchases of a specific product.

• Limited to one refund per product type per customer.

• Shipping, handling, and optional shipping protection fees are non-refundable.

• If you choose to exchange a product, the money-back guarantee no longer applies.

B) Subscription (Autoship) Orders

Subscription orders are not eligible for the 30-day money-back guarantee. Refunds for subscription orders are available only under these conditions:

• Items must be unopened.

• Return shipping is the customer's responsibility.

• Original shipping costs are non-refundable.

• Refunds are processed within 5–7 business days of receiving and inspecting the returned product.

C) Order Cancellation

We will do our best to accommodate cancellations. Please contact us as soon as possible.

• Once an order has been processed or shipped, cancellation cannot be guaranteed.

• Orders that have already shipped cannot be cancelled.

D) Damaged, Defective, or Incorrect Items

If your order arrives damaged, defective, or incorrect, contact us immediately. You do not need to return the item. We will send a replacement at no cost where appropriate. To request help, email support@thrivenutrition.us.


6) Subscriptions, Automatic Payments, and Cancellation

At checkout you may have the option to purchase products one time or enroll in a subscription ("Autoship").

If you enroll in a subscription, you authorize us to automatically charge your selected payment method and ship your subscription order every 30 days (or the interval selected at checkout) unless and until you cancel.

Canceling: You may cancel by:

• Emailing support@thrivenutrition.us, or

• Logging into your account and managing your subscription.

To avoid being charged for the next shipment, you must cancel at least 24 hours before your next scheduled shipment.

If a subscription payment fails, we may contact you using the email address or phone number you provided to request updated payment information. If payment remains unpaid after fulfillment, your account may be sent to collections where permitted by law.


7) No Medical Advice / FDA Disclaimer

Information on the Service is provided for general informational purposes only and is not medical advice. Always consult a qualified healthcare professional before starting any supplement, especially if you are pregnant, nursing, taking medication, or have a medical condition.

Statements on the Service have not been evaluated by the Food and Drug Administration. Products are not intended to diagnose, treat, cure, or prevent any disease.

Individual results vary and we do not guarantee any specific outcome.


8) Intellectual Property

The Service and its content (including text, graphics, logos, images, designs, and software) are owned by or licensed to Thrive Nutrition® and are protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works, or exploit any content without our prior written consent.


9) User Content (Reviews, Submissions)

If you submit content (including reviews, testimonials, comments, photos, or videos) ("User Content"), you represent that you own it or have the right to submit it.

By submitting User Content, you grant Thrive Nutrition® a worldwide, royalty-free, perpetual, irrevocable license to use, display, reproduce, modify, publish, and distribute that User Content for business purposes, including marketing and advertising, in any media.

We may remove User Content at our discretion.


10) Prohibited Uses

You agree not to use the Service for unlawful purposes or in a way that violates these Terms, including attempting to gain unauthorized access to systems, introducing malware, scraping personal data, harassing others, or infringing intellectual property.


11) Third-Party Links

The Service may include links to third-party sites. We do not control those sites and are not responsible for their content, policies, or practices. Your use of third-party sites is at your own risk.


12) Disclaimers

THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.


13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRIVE NUTRITION® WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR PRODUCTS.

IF THRIVE NUTRITION® IS FOUND LIABLE FOR ANY CLAIM, OUR TOTAL LIABILITY WILL NOT EXCEED $500.00 USD OR THE AMOUNT YOU PAID TO US FOR THE PURCHASE GIVING RISE TO THE CLAIM (WHICHEVER IS LESS), TO THE EXTENT PERMITTED BY LAW.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.


14) Indemnification

You agree to indemnify and hold harmless Thrive Nutrition® from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service, violation of these Terms, or infringement of third-party rights.


15) Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.


16) Arbitration & Class Action Waiver

PLEASE READ CAREFULLY. This section affects your legal rights.

Except where prohibited by law, you agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, our products, or our policies will be resolved by binding, confidential arbitration administered by the American Arbitration Association (AAA) under its consumer arbitration rules.

• Arbitration will be conducted by a single arbitrator.

• Arbitration will be on an individual basis only. You waive any right to participate in a class action or class arbitration.

• You waive the right to a jury trial.

Notice of Dispute: Before initiating arbitration, you must send written notice describing the dispute and the relief requested to:

If the dispute is not resolved within 30 days after notice is received, either party may initiate arbitration.

This arbitration provision is governed by the Federal Arbitration Act (FAA).


17) PHONE / SMS / MMS Messaging Terms

If you opt into Thrive Nutrition® SMS/MMS marketing, you agree to receive marketing or transactional messages at the number provided.

• Consent is not a condition of purchase.

• Message and data rates may apply.

• Message frequency varies.

• You can opt out at any time by replying STOP to any message.

18) DMCA / Copyright Complaints

If you believe content on the Service infringes your copyright, email support@thrivenutrition.us with the subject line "Copyright Infringement" and include:

• A description of the copyrighted work,

• Where it is located on the Site (URL),

• Your contact information,

• A statement of good-faith belief,

• A statement under penalty of perjury that the information is accurate,

• Your signature (electronic is acceptable).


19) Termination

We may suspend or terminate access to the Service at any time if we believe you violated these Terms or used the Service unlawfully. Sections that by their nature should survive termination will survive.


20) Changes to These Terms

We may update these Terms from time to time. The "Last updated" date will reflect changes. Continued use of the Service after changes become effective means you accept the revised Terms.
